Terms of Service

1. Acceptance

By creating an account, subscribing, or otherwise using Business Ops Toolkit ("the Service"), you agree to these Terms of Service. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 16 years old and have the legal capacity to enter into this agreement. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

3. Account and security

You are responsible for maintaining the security of your account credentials, OAuth tokens, and any AI provider API keys you store in the Service. Notify us immediately of any unauthorized access.

4. Acceptable use

You agree not to:

• Use the Service in a way that violates the Terms of Service of any connected third-party provider (Google, Slack, Stripe, Meta, LinkedIn, etc.).
• Upload or generate content that is illegal, defamatory, infringing, malicious, or designed to harass.
• Attempt to reverse-engineer, scrape, or circumvent rate limits or access controls of the Service.
• Resell or sublicense the Service without written permission.
• Use the Service to generate spam, mass unsolicited outreach, or disinformation.

5. AI outputs

AI-generated outputs are not guaranteed to be accurate, complete, current, or fit for any particular purpose. You are responsible for reviewing AI outputs before publishing or acting on them. You retain ownership of the prompts you submit and, subject to the AI provider's terms, of the outputs produced for you.

6. Subscription and billing

• Paid subscriptions are billed monthly or annually through Stripe.
• Subscriptions renew automatically unless canceled before the end of the billing period.
• You can cancel at any time through the billing portal; access continues until the end of the paid period.
• We do not offer partial refunds for mid-period cancellations. Refund requests for billing errors are handled case-by-case.
• If payment fails, we will attempt to re-charge; continued failure may result in suspension (see our gating contract for details on the past_due, unpaid, and canceled states).

7. Termination

You may terminate your account at any time. We may suspend or terminate your account for material breach of these Terms, for non-payment, or where required by law. On termination, see our Privacy Policy for data deletion procedures.

8. Disclaimers

The Service is provided "as is" without warranties of any kind, whether express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability. We disclaim all liability for actions you take based on AI outputs.

9. Limitation of liability

To the maximum extent permitted by law, our total liability to you for any claim arising out of or relating to the Service is limited to the amount you paid us in the twelve months preceding the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages.

10. Indemnification

You agree to indemnify and hold us harmless from any claim arising out of your use of the Service in violation of these Terms or applicable law.

11. Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Texas.

12. Changes

We may update these Terms from time to time. Material changes will be posted here with an updated "Last updated" date. Continued use after the effective date of a change constitutes acceptance.
